Merger of Elring Klinger Motortechnik GmbH into ElringKlinger AG

ElringKlinger AG intends to take over the assets of Elring Klinger Motortechnik GmbH, its wholly-owned subsidiary with registered office in Idstein/Taunus, as a whole and without its liquidation by way of a merger by absorption. In this context the draft of the merger agree-ment, the annual financial statements and, if applicable, the management reports of ElringKlinger AG and Elring Klinger Motortechnik GmbH of the last three years as well as the notice published in the Electronic Federal Gazette pursuant to section 62 UmwG are hereby made accessible.
